CoreWeave Completes $4.2 Billion Convertible Notes Offering

07:42 AM EDT, 09/23/2026 (MT Newswires) -- CoreWeave (CRWV) said late Tuesday in a regulatory filing that it completed a $4.2 billion private offering of 2.875% convertible senior notes due 2033, including $500 million from the full exercise of the initial purchasers' option. The company said the notes will pay interest semi-annually beginning April 1, 2027, and mature April 1, 2033, and have an initial conversion price of about $97.85 per share, a 22.5% premium to its last Thursday close. The notes can be converted into cash, class A shares or a combination of both, it added. The company said it used part of the proceeds to fund capped call transactions and plans to use the remainder for general corporate purposes. The capped call transactions, which cost about $566.2 million, have an initial cap price of $199.70 per share and are designed to reduce potential dilution from the notes' conversion, CoreWeave said.
